On 2 November 2026, Marvell Technology agreed to buy Lumentum in a deal that values the optical-components maker at about $115 billion. Marvell is paying entirely in its own shares. What it gets is a company that turns data into light, the part of an AI data centre that moves information between thousands of chips.

Marvell Lumentum Deal Terms
Both boards approved the agreement unanimously. The exchange ratio is fixed, so the value Lumentum holders receive moves with Marvell's share price until closing.

| Implied value | About $1,132 per share; $115 billion enterprise value |

Why Marvell Wants Lumentum: Optics for AI Data Centres
An AI cluster is only as fast as the links between its chips. Lumentum makes the parts that carry those links as light: high-performance lasers, optical transceivers, and optical circuit switches, which redirect light between servers without converting it back to electrical signals. It also runs its own compound-semiconductor factories, including indium phosphide, the material most of those lasers are built on.
Marvell already designs the custom chips and electrical interconnects inside data centres. Adding Lumentum puts the optical side under the same roof, from the chip to the cable.
Marvell brings
Custom AI chips, data-centre networking silicon and electrical interconnect.
Lumentum brings
Lasers, optical transceivers, optical circuit switching and indium phosphide manufacturing.
What Happens Before 2028
The expected close in the first half of 2028 leaves well over a year for shareholder votes and competition reviews in several countries. The release lists regulatory approval and the availability of financing among the risks. Until then, the two companies operate separately.
For companies building AI products, the deal is a reminder of where the cost of AI now sits: in moving data between chips as much as in the chips themselves. Naraway's tech team builds the software layer that runs on top of that infrastructure.
